BytevidWhisper Terms of Use

Welcome to BytevidWhisper. These Terms of Use govern your access to and use of the BytevidWhisper website, platform, applications, content, and related services made available through BytevidWhisper.

By accessing or using BytevidWhisper, you agree to be bound by these Terms of Use. If you do not agree to these Terms, you must not access or use the platform.

1. Who We Are

BytevidWhisper is part of the Bytevid Ecosystem and aligns with Fierce Global Foundation’s mission of ethics, responsibility, and human-centered innovation. In these Terms, “BytevidWhisper,” “we,” “us,” and “our” refer to the BytevidWhisper platform and related services.

2. Eligibility

You must be at least 18 years old to use BytevidWhisper.

By using the platform, you represent and warrant that:

• you are at least 18 years old,
• you have the legal capacity to enter into these Terms,
• the information you provide is true, accurate, and current,
• and your use of BytevidWhisper will comply with all applicable laws and regulations.

If we learn that someone under 18 has created an account or submitted personal information through the platform, we may suspend or terminate access and remove the related information.

3. Your Account

You may be required to create an account to access certain features of BytevidWhisper.

You are responsible for:

• maintaining the confidentiality of your login credentials,
• all activity that occurs under your account,
• and promptly notifying us if you suspect unauthorized use of your account.

We reserve the right to suspend, restrict, or terminate accounts that violate these Terms or create legal, operational, or security risk.

4. User Content

BytevidWhisper may allow you to post, upload, submit, share, or otherwise make content available, including short messages, text, comments, profile information, images, and other materials.

You retain ownership of content you own. However, by submitting content to BytevidWhisper, you grant us a non-exclusive, worldwide, royalty-free, transferable license to host, store, display, reproduce, distribute, and make that content available as needed to operate, improve, promote, and support the platform.

You represent and warrant that:

• you own the content or have all necessary rights to post it,
• your content does not infringe the rights of any third party,
• your content does not violate any law or these Terms,
• and your content is not false, misleading, unlawful, abusive, exploitative, or otherwise objectionable.

5. Prohibited Conduct

You agree not to use BytevidWhisper to:

• violate any law, rule, or regulation,
• infringe intellectual property, privacy, publicity, or other legal rights,
• upload malicious code, malware, viruses, or harmful files,
• scrape, harvest, or extract data without authorization,
• create fake accounts or misrepresent your identity,
• impersonate another person or entity,
• interfere with the operation, security, or functionality of the platform,
• transmit spam, scams, deceptive solicitations, or unauthorized promotions,
• harass, abuse, threaten, intimidate, or exploit other users,
• post unlawful, sexually exploitative, hateful, or abusive material,
• or use the platform in any way that damages the service or harms other users.

We may investigate, remove content, restrict access, or terminate accounts where we believe conduct violates these Terms or creates risk to BytevidWhisper, our users, or our rights.

6. Intellectual Property

Unless otherwise stated, BytevidWhisper and all related content, functionality, branding, logos, designs, text, graphics, software, and platform materials are owned by us or licensed to us and are protected by applicable intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use BytevidWhisper for personal, lawful, non-commercial use, unless otherwise expressly authorized by us in writing.

You may not copy, reproduce, distribute, modify, republish, display, sell, license, reverse engineer, or exploit any part of BytevidWhisper without our prior written consent.

7. DMCA and Copyright Policy

BytevidWhisper respects the intellectual property rights of others and expects users of the platform to do the same.

If you believe that content available on BytevidWhisper infringes your copyright, you may submit a written notification under the Digital Millennium Copyright Act ("DMCA"). Upon receipt of a valid notice, we may remove or disable access to the material identified in the notice and take other action as appropriate.

A valid DMCA notice should include:

• your physical or electronic signature,
• identification of the copyrighted work you claim has been infringed,
• identification of the allegedly infringing material and enough information for us to locate it,
• your full name, mailing address, telephone number, and email address,
• a statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent, or the law,
• and a statement, under penalty of perjury, that the information in your notice is accurate and that you are authorized to act on behalf of the copyright owner.

If you believe that your material was removed or disabled by mistake or misidentification, you may submit a written counter-notification. A valid counter-notification should include identification of the removed material, your contact information, a statement under penalty of perjury that you have a good-faith belief the material was removed in error, a statement consenting to the appropriate court jurisdiction, and your physical or electronic signature.

BytevidWhisper reserves the right to suspend, restrict, or terminate accounts of users who are determined to be repeat infringers or who repeatedly violate the intellectual property rights of others.

8. Community Features

BytevidWhisper may include features that allow users to follow others, interact with content, comment, like, share, or communicate through the platform.

You agree to use these features responsibly and in a way that does not violate these Terms, platform rules, or the rights of others.

We reserve the right, but not the obligation, to monitor and moderate content and interactions on the platform.

9. Third-Party Services and Links

BytevidWhisper may include links to third-party websites, tools, services, social media platforms, or integrations. We do not control and are not responsible for third-party content, policies, terms, or business practices.

Your use of third-party services is at your own risk and subject to the terms of those third parties.

10. Changes to the Platform

We may modify, update, suspend, or discontinue any part of BytevidWhisper at any time, with or without notice.

We do not guarantee that the platform will always be available, uninterrupted, secure, or error-free. Access may be affected by maintenance, technical failures, third-party service issues, or events beyond our control.

11. Termination

These Terms remain in effect while you use BytevidWhisper.

We may suspend or terminate your access at any time, with or without notice, if:

• you violate these Terms,
• your conduct creates risk to the platform or others,
• required by law,
• or necessary to protect BytevidWhisper and its users.

Termination does not affect any rights or obligations that by their nature should survive termination.

12. Disclaimer

BytevidWhisper is provided on an “as is” and “as available” basis.

To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not guarantee that:

• the platform will be uninterrupted or error-free,
• the platform will always be secure,
• or the content or services will meet your expectations or requirements.

13. Limitation of Liability

To the fullest extent permitted by law, BytevidWhisper and its officers, directors, employees, affiliates, contractors, and agents will not be liable for any indirect, incidental, consequential, exemplary, special, or punitive damages, including lost profits, lost data, lost revenue, or business interruption arising out of or related to your use of the platform.

If applicable law does not allow certain limitations, then those limitations apply only to the extent permitted by law.

14. Indemnification

You agree to defend, indemnify, and hold harmless BytevidWhisper and its officers, directors, employees, affiliates, agents, and contractors from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or related to:

• your content,
• your use of BytevidWhisper,
• your violation of these Terms,
• or your violation of any law or third-party rights.

15. Privacy

Your use of BytevidWhisper is also subject to our Privacy Policy, which explains how we collect, use, store, and protect personal information.

16. Governing Law

These Terms are governed by the laws of the Commonwealth of Virginia, without regard to conflict-of-law principles.

Any dispute arising out of or relating to these Terms or your use of BytevidWhisper shall be brought exclusively in the state or federal courts located in Norfolk, Virginia, and you consent to the jurisdiction and venue of those courts.

18. Miscellaneous

These Terms, together with any policies incorporated by reference, constitute the entire agreement between you and us regarding BytevidWhisper.

If any provision of these Terms is found unlawful or unenforceable, the remaining provisions will remain in full force and effect.

Our failure to enforce any provision is not a waiver of that provision.

There is no joint venture, partnership, employment, or agency relationship created between you and us by your use of the platform.
